LEGAL ADVICE AND GENERAL CONDITIONS FOR USING TRADECORP INTERNATIONAL´S WEBSITE

1. Owner of the Portal.

Trade Corporation International, S.A. (hereinafter Tradecorp International), having its registered address in Madrid, Alcalá, 498, 2nd Floor, is the owner of the domain www.tradecorp.com.es (hereinafter, the Portal) and it makes this website available to Internet users so as to provide information about its products.


2. Acceptance by the users.

When accessing or navigating Tradecorp International’s website or when using any of the content of the aforementioned website, the user agrees and accepts these General Conditions for Use with no reservations of any kind.

Tradecorp International reserves the right to modify these General Conditions at any time and with no prior warning. The General Conditions of Use which are in force will be published with this warning whenever Users access the Portal.


3. Personal Data Protection Policy.

In compliance with the provisions of the Public General Act of Parliament 15/1999, of 13 December concerning Personal Data Protection, Tradecorp International informs its users of the existence of a file with personal data created in order to administer the relationship between the users and the company and to assign them the Tradecorp International representative who is geographically closest to them.

Tradecorp International, having its registered address in Madrid, Alcalá, 498, 2nd Floor, is responsible for the personal data file and the users can at any time and free of charge exercise their rights of access, rectification, cancellation and opposition to the personal data, by writing to the aforementioned address or by means of an e-mail addressed to global@tradecorp.sapec.pt.

The users expressly accept the inclusion in the automatic personal data file referred to above of information provided voluntarily.

4. Intellectual and industrial copyright.

All the contents provided on the Portal and more specifically the designs, texts, figures, logos, icons, software, commercial names, trademarks, industrial drawings or any other symbols susceptible to industrial and commercial use are subject to the intellectual and industrial copyrights of Tradecorp International or third parties who have duly authorised the use of the same in the Portal.

Under no circumstances will it be understood that any licence be awarded or any renouncing, transmission, total or partial assigning of said rights be made, nor that any rights or expectation of rights be given to the users, and, more specifically, any alteration, exploitation, reproduction, distribution or public communication of the said content will be forbidden without prior authorisation in writing from Tradecorp International or the corresponding owners of the copyrights.


5. Users’ obligations.
In general, the users will be obliged to comply with these General Conditions for Use and to comply with the special warnings or instructions for use contained in the Portal and to comply with the Law, good manners and the demands made by good faith at all times, and they shall not use the Portal in any way that might prevent, damage or deteriorate the normal running of the same.

More specifically, and without this implying any restriction to the obligations accepted by the users of the general conditions given above, the users, when they use the Portal, are obliged: i) not to introduce, store or distribute in or from the Portal any information or material which is defamatory, slanderous, obscene, threatening, xenophobic, racist or discriminatory with regard to sex, ideology, religion or which in any way threatens morals, the public order or the rights of third parties and, in general, is against the law; (ii) not to introduce, store or distribute, using the Portal, any computer program, datum, virus, code or any other electronic instrument or device which may susceptible to causing damage to the Portal, or any of the equipment, systems or networks of Tradecorp International, of any user, or in general, of any third party, or which might in any way cause alterations or prevent the correct functioning of the same; (iii) not to use the content and information obtained through the Portal for sending advertising, nor for sending messages for direct sales, nor for any other commercial purpose, nor for collecting or storing personal data of third parties; (iv) not to destroy, alter, use for their own use, make useless or damage the electronic data, information, programs or documents of Tradecorp International or of third parties; and (v) not to introduce, store or distribute over the Portal any content which is an infringement of industrial or intellectual copyright or company secrets of third parties, nor in general any content to which the user, according to current legislation, does not have the right to make available to third parties.


6. Responsibilities.

The users recognise and accept that the use of the Portal and the content included therein is done at their own risk and under their own responsibility. In this sense, Tradecorp International does not guarantee the results arising from the use of any of the content provided on the Portal and will only be responsible for the damages that the users might suffer as a result of the use of the Portal when said damages can be imputed to a fraudulent action by Tradecorp International.

Likewise, the users recognise and accept that all the information and material, including software, text, data, figures, photos, designs, logos and icons which are included on the Portal are provided merely for information purposes and do not constitute commercial offers, advice, recommendations or an establishing of professional relations between the users and Tradecorp International.

Tradecorp International is not responsible for any direct or indirect damages, loss of profits (including, but not limited to, loss of profitability) or interruption of activities suffered by the users which might be caused by (i) interference, omissions, interruptions, computer viruses, faults and/or disconnection in the operational running of this electronic system or the computer apparatus and equipment of the users, caused by reasons which are beyond the control of Tradecorp International and which prevent or delay navigation over the System or access to any part of the content of the Portal, and (ii) the inexactness, errors or omissions occurring in the information contained on the Portal, and Tradecorp International does not guarantee that the content of the said information is appropriate for the individual objectives of the users.

Tradecorp International does not control the use that is made of the Portal by the users nor does it assume any obligations with regard to supervising the information provided by the users. More specifically, Tradecorp International does not guarantee, under any circumstances, that the users will use the Portal in accordance with the Law and these General Conditions, or with generally accepted moral standards and behaviour and public order, nor that the said use will be diligent and prudent.


7. Communications.

With regard to these General Conditions and for any communication necessary between Tradecorp International and the users, the users should address the company via post to Madrid, Alcalá, 498, 2nd Floor, e-mail at global@tradecorp.sapec.pt or by fax on + 34 91 304 71 72.

Communications from Tradecorp International to the users will be done in accordance with the data given voluntarily by the users, and the users expressly accept that Tradecorp International may send commercial and advertising communications to the e-mail address they supply.


8. Applicable legislation and jurisdiction.

These General Conditions for Use will be governed by Spanish legislation.

The parties expressly renounce any other jurisdiction that might correspond to them and expressly agree to be subject to the Courts and Tribunals of Madrid in the event that there is a need to resolve any controversy arising from the interpretation or execution of these contractual conditions.
